Terms of Service

Naroon is a product of LucidCo Inc. This document applies to the Naroon service operated under the LucidCo Inc. brand.

These Terms of Service ("Terms") are a legal agreement between you and LucidCo Inc., the operator of Naroon (https://naroon.ca), governing your access to and use of the Naroon website, mobile applications, and related services (together, the "Service").

By creating an account, submitting a phone number or email address for verification, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.

You must be able to form a binding contract to use the Service and must provide accurate, current information when creating an account, including a phone number or email address you control and can verify.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at support@naroon.ca if you suspect unauthorized access to your account.

Verification features (such as phone or email confirmation) establish that you control the contact method you registered — they are not, on their own, a representation by us about your identity, character, or the truthfulness of any content you post.

Naroon is a community platform for discovering local businesses and events. Depending on your locale and account type, the Service may let you: browse and search a business directory; view business profiles, menus, and listings; read and write reviews; follow businesses and see community posts and feed updates; discover, book, or purchase tickets to events; earn and redeem loyalty points and rewards; play games, including multiplayer games against other users; claim and manage a business profile and its dashboard; and receive account, transactional, and (where you have opted in) newsletter or campaign email.

We may add, change, or remove features at any time. Not every feature is available in every region or to every account.

"User Content" means anything you submit to the Service, including reviews, business listing information, event details, posts, photos, messages, and profile information.

You retain ownership of your User Content. By submitting it, you grant LucidCo Inc. a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute it as necessary to operate and promote the Service (for example, showing your review on a business profile, or a business post in another user's feed).

You are solely responsible for your User Content and represent that you have the rights to post it and that it does not violate these Terms, any law, or a third party's rights.

Community conduct — you agree to:

• Post reviews based on genuine experience and represent your relationship to a business honestly
• Treat other members, business owners, and staff respectfully
• Respect the privacy of other users and businesses
• Follow any additional guidelines shown in-product for reviews, posts, or events

You agree not to:

• Post fake, paid-for, incentivized, or otherwise deceptive reviews, or reviews for a business you have no genuine relationship with
• Impersonate any person or entity, or misrepresent your affiliation with a business
• Harass, threaten, defame, or discriminate against another user or business
• Upload content that is unlawful, infringing, obscene, or that exploits or endangers minors
• Circumvent, disable, or interfere with verification, security, rate-limiting, or fraud-prevention features
• Scrape, crawl, or systematically extract data from the Service except via a method we publish and authorize
• Use the Service to send unsolicited communications or messaging outside the flows we provide
• Upload malicious code or attempt to gain unauthorized access to accounts, systems, or data
• Use the Service for any purpose that is illegal in your jurisdiction

We may investigate suspected violations and take any of the actions described in "Suspension and termination" below.

The Service, including its design, text, graphics, logos, and software (excluding User Content and third-party content), is owned by LucidCo Inc. or its licensors and is protected by intellectual property laws. Except for the limited license needed to use the Service as intended, no rights are granted to you.

You may not copy, modify, distribute, sell, or lease any part of the Service or its software, or reverse-engineer it, except where such restriction is prohibited by applicable law.

Businesses, business listings, events, ticketing, menus, and offers on the Service are created and controlled by independent third parties (business owners/operators), not by LucidCo Inc. We do not guarantee the accuracy, quality, safety, or legality of any listing, event, product, or service offered by a third-party business.

Where the Service supports payments (for example, event ticket purchases), payment processing is performed by a third-party payment processor. We do not store your full payment card details. Purchases from a business through the Service are a transaction between you and that business, subject to that business's own terms, pricing, and refund or cancellation policies where applicable.

The Service may contain links to third-party websites or services (for example, a business's own website or social media). We do not control and are not responsible for third-party sites linked from the Service.

THE SERVICE, INCLUDING ALL USER CONTENT AND THIRD-PARTY CONTENT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

LucidCo Inc. does not endorse, and is not responsible for, the accuracy or reliability of any review, listing, event, or other content posted by users or businesses. Verification features confirm control of a contact method or, where stated, that a business has completed our verification process — they are not a guarantee about a business's conduct, products, or services.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUCIDCO INC. AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LucidCo Inc.'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, or remove content, if we reasonably believe you have violated these Terms, created risk or legal exposure for us or other users, or if required by law.

Where practical, we will provide notice of suspension or termination. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

This section governs SMS text messages sent by or on behalf of Naroon. It applies in addition to the rest of these Terms.

• By submitting your phone number and requesting verification (for example, during sign-in or account verification), you consent to receive one-time transactional security codes by SMS from us or our messaging provider.
• These messages are transactional and user-initiated — sent because you requested a code — and are never used for marketing or promotional purposes.
• Message frequency varies based on your account activity (for example, how often you sign in or request a new code).
• Standard message and data rates from your mobile carrier may apply.
• Reply HELP to any message for assistance, or reply STOP to opt out of receiving SMS messages at any time.
• Opting out of SMS may prevent you from using phone-based sign-in, verification, or account recovery, since those features depend on receiving the code by text.
• Carriers are not liable for delayed or undelivered messages.
• Consent to receive SMS messages is not a condition of purchasing any goods or services.

We may modify or discontinue any part of the Service at any time. We may also update these Terms from time to time; when we do, we will update the "Last updated" date above and, for material changes, provide additional notice where required by law. Continued use of the Service after an update constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. You agree that the courts located in Ontario, Canada will have exclusive jurisdiction over any dispute arising from these Terms or the Service, except where applicable law requires otherwise.
